Term and Condition for Workmaster

1. Introduction

Welcome to Workmaster (the “Service”), operated by Workstream Automation Limited (“we,” “our,” “workstream” or “us”). Please read these Terms and Conditions (also referred to as Terms) carefully before using this website as these Terms are legally binding between Workstream Automation Limited (also referred to as Workstream) with its registered office at 420-D Woodham Lane, Woodham, Addlestone, Surrey KT15 3PY, United Kingdom and You, the User.  The term User shall refer to anyone accessing, browsing or using this website. 

By accessing, browsing or using this website or any part of the Service this website provides, the User acknowledges that they have read and understood these Terms and Conditions and have the authority to act on behalf of any person or entity for whom they are using this Service. The User is deemed to have agreed to these terms on behalf of any entity for whom the User makes use of the Service. If you do not agree with these Terms, please do not use the Service.

2. Description of Service

Workstream offers a no-code application development platform called Workmaster, which is provided as a web-based service (referred to herein as the ‘Service’ or ‘Services’). The Service is offered and provided subject to its Terms and Conditions. Users shall connect to the Service using any Internet browser supported by the Service at the domains www.workmaster.ai & www.workmaster.io. The User is responsible for obtaining access to the Internet and equipment necessary to access the service. 

3. Use of Service

Workstream grants the User the right to access and use the Service via the website with the user roles available to them according to their subscription type. This right is non-exclusive, non-transferable, and limited by and subject to these Terms and Conditions. Should you require professional services for App creation or related content, please contact us at the email provided at the end of this Agreement. Such services may incur additional fees.

Prohibited Activities: You agree not to:

  • Use the Service for any unlawful purpose.
  • Violate any applicable laws or regulations.
  • Infringe upon our intellectual property rights or those of others.
  • Transmit any harmful code or disrupt the integrity or performance of the Service.

4. Enforcement and Compliance Rights

Workstream retains the right, though not the obligation, to investigate any breach of this Agreement or misuse of the Service. We may take the following actions:

  1. Content Management: Remove, restrict access to, or modify any content or resources that are in violation of this Agreement.
  2. Reporting Violations: Report activities suspected of violating applicable laws or regulations to law enforcement authorities, regulatory bodies, or other relevant third parties. Such reports may include disclosure of User Content or Account information.
  3. Cooperation with Authorities: Collaborate with law enforcement agencies, regulators, or other appropriate entities by providing network and systems information to assist in the investigation or prosecution of illegal activities.
  4. Protection Measures: Access and disclose User Content if we, in good faith, determine that such actions are reasonably necessary to protect the rights, property, or safety of the Service, our company, our employees, directors, officers, partners, agents, or the public.

5. Eligibility and Access Restrictions

You must be at least 18 years old to use the Service. By using the Service, you represent and guarantee that you meet this age requirement and have the legal capacity to enter into a binding agreement. Individuals under the age of Eighteen, (18) or the applicable age of majority in their jurisdiction, are prohibited from accessing or using the Service without verifiable parental consent, in compliance with relevant laws. Furthermore, access to and use of the Service is prohibited for individuals who are legally restricted from receiving such services under applicable laws, or who have previously had their access suspended or terminated by us.

6. Account Registration

  • Accuracy of Information: To use and access our Service, you are required to establish an account (“Account”). During the registration process, you must provide accurate, current, and complete information, including, but not limited to, your full name and contact details. It is your responsibility to maintain and promptly update your Account information to always ensure its accuracy and completeness. Failure to do so may result in the suspension or termination of your Account and access to the Service.

 

  • Confidentiality: You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. We are not responsible for any loss or damage resulting from your failure to keep your account credentials confidential. You must promptly inform us if you become aware of or suspect any security breach related to the Service or your account.

7. Information and Exclusions

Workstream makes every effort to ensure the accuracy of all information displayed on this web site. However, as errors and/or omissions may inadvertently occur, the User is invited to check the accuracy of the information with Workstream. Workstream shall not be held responsible in any way whatsoever for the usage, proper or improper, of information contained herein.

Consequently, the User accepts that the use of the contents of this website takes place freely and consciously under the User’s own responsibility.

8. Service Availability

We strive to provide continuous access to our SaaS platform, aiming for an uptime of 99.9% each calendar month. However, service availability may be subject to the following exceptions:

  • Scheduled Maintenance: We may perform routine maintenance to enhance and update the platform. Such maintenance will typically occur during off-peak hours to minimize disruption. We will provide advance notice via email or through the platform for any scheduled maintenance that may cause service interruptions.
  • Emergency Maintenance: In certain situations, immediate maintenance may be necessary to address critical issues that could affect platform security or functionality. While we strive to provide notice, emergency maintenance may occur without prior notification.
  • Force Majeure Events: Service availability may be impacted by events beyond our reasonable control, including but not limited to natural disasters, acts of war, terrorism, civil unrest, pandemics, governmental actions, or failures of telecommunications networks. In such cases, we will make reasonable efforts to restore service but cannot guarantee specific timeframes.
  • Third-Party Service Failures: Our platform may rely on third-party services (e.g., internet service providers, hosting services). We are not responsible for service interruptions caused by failures or delays of such third-party services.
  • User Actions: Service disruptions resulting from actions or omissions by users, including violations of our Terms and Conditions, are beyond our responsibility.

9. Intellectual Property

  • Copyrights and Trademarks: Except as may otherwise note, all material and information including trademarks and logos available on or from this website are the copyrighted works of Workstream and its licensors. Except as expressly permitted in these Terms, any use of the content without proper authorization from Workstream is strictly prohibited.
  • Restrictions: Except as otherwise expressly permitted the User will not:

 

  1. Reproduce, modify, adapt, create derivative works of, distribute, sell, sublicense, transfer, or provide access to the Service to a third party.
  2. Use the Service for the benefit of any third party.
  3. Incorporate the Service into a product or service they provide to a third party.
  4. Interfere with any license key mechanism in the Service or otherwise circumvent mechanisms in the Service intended to limit its use.
  5. reverse engineer, disassemble, decompile, translate, or otherwise seek to obtain or derive the source code, underlying ideas, algorithms, file formats or non-public APIs except as permitted by law.
  6. Publicly disseminate information regarding the performance of the Service.

10. Publicity Rights

Workstream may identify the User as a customer for the Services provided in this website in its promotional materials.  The User may request that Workstream stop doing so by submitting an email to info@workmaster.ai at any time. Please note that it may take up to 30 days to process the User’s request. 

11. Payments, Subscriptions and Returns

Users seeking a ‘Free Trial’ are not required to provide a credit/debit card number. A valid credit/debit card is required for paying accounts. For any upgrade or downgrade in plan level, the User’s credit/debit card provided will automatically be charged as appropriate. The Service is billed on a monthly and annual basis. The amount billed is non-refundable. There will be no refunds or credits for partial months of service, upgrade/downgrade refunds. Workstream reserves the right to change the subscription fee from time to time. In case of non-payment for any reason or any violation of these terms, Workstream shall be entitled – without liability – to immediately bar the User’s access to the Service.

12. Warranty and Disclaimer

All Products Are Provided “as Is,” And Worstream And Its Suppliers Expressly Disclaim Any And All Warranties And Representations Of Any Kind, Including Any Warranty Of Non-infringement, Title, Fitness For A Particular Purpose, Functionality, Or Merchantability, Whether Express, Implied, Or Statutory. You May Have Other Statutory Rights, But The Duration Of Statutorily Required Warranties, If Any, Shall Be Limited To The Shortest Period Permitted By Law. Workstream Shall Not Be Liable For Delays, Interruptions, Service Failures And Other Problems Inherent In Use Of The Internet And Electronic Communications Or Other Systems Outside The Reasonable Control Of Workstream. To The Maximum Extent Permitted By Law, Neither Workstream Nor Any Of Its Third Party Suppliers Makes Any Representation, Warranty Or Guarantee As To The Reliability, Timeliness, Quality, Suitability, Truth, Availability, Accuracy Or Completeness Of Any Products Or Any Content Therein Or Generated Therewith, Or That: (A) The Use Of Any Products Will Be Secure, Timely, Uninterrupted Or Error-free; (B) The Products Will Operate In Combination With Any Other Hardware, Software, System, Or Data; (C) The Products (Or Any Products, Services, Information, Or Other Material Purchased Or Obtained By You Through The Products) Will Meet Your Requirements Or Expectations); (D) Any Stored Data Will Be Accurate Or Reliable Or That Any Stored Data Will Not Be Lost Or Corrupted; (E) Errors Or Defects Will Be Corrected; Or (F) The Products (Or Any Server(S) That Make A Hosted Service Available) Are Free Of Viruses Or Other Harmful Components.

13. Third-Party Links

The Service may contain links to third-party websites or services that are not owned or controlled by us. We have no control over, and assume no responsibility for, the content, privacy policies, or practices of any third-party websites or services.

14. Termination

We reserve the right to suspend or terminate your access to the Service at our sole discretion, without notice, for conduct that we believe violates these Terms or is harmful to other users or us.

15. Limitation of Liability

To the fullest extent permitted by law, in no event shall we be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses, resulting from (i) your use or inability to use the Service; (ii) any unauthorized access to or use of our servers and/or any personal information stored therein. 

16. Indemnification

You agree to indemnify and hold harmless Workstream Automation Limited and its affiliates from any claims, losses, liabilities, damages, expenses, including attorneys’ fees, arising out of your use of the Service or violation of these Terms or through the use of Applications developed using the service.

17. Modification of Terms

The Workstream Terms and Conditions will evolve over time based on user feedback. These Terms are not intended to answer every question or address every issue raised using the Service. Workstream reserves the right to change these terms at any time, effective upon the posting of modified terms and Workstream will make every effort to communicate these changes to the user via email or notification via this website. It is the User’s obligation to ensure that they have read, understood and agree to the most recent Terms available on this website.  The User’s continued use of the Service after any such changes shall constitute their consent to such changes.

18. Governing Law and Jurisdiction

These Terms and Conditions will be governed by and construed in accordance with English law; and the courts of England will have exclusive jurisdiction to adjudicate any dispute arising under or in connection with these Terms.
